SaaS Service Terms

These SaaS Service Terms ("SaaS Terms") govern subscription-based hosted services provided by BosonWare Enterprises ("BosonWare").
They supplement the BosonWare Terms of Service and apply to services such as Smart QRs, Forms, and other hosted BosonWare services designated as SaaS products.
1. The Service
BosonWare provides hosted software services that allow customers to create, configure, manage, and publish digital resources.
Specific features vary by product and subscription plan. We may introduce, modify, or discontinue features from time to time.
2. Accounts
A customer may be required to maintain a BosonWare account to access a SaaS service.
Customers are responsible for maintaining account security and ensuring that authorized users have appropriate access.
3. Subscriptions
Some SaaS services are provided on a subscription basis.
Subscription plans, pricing, usage limits, and included features are presented at the time of purchase. Unless otherwise stated, subscriptions continue until cancelled or terminated.
4. Billing
Customers authorize BosonWare or its payment providers to charge applicable subscription fees.
Taxes, payment-processing fees, or other charges may apply where required. Failure to complete payment may result in restricted or suspended access after reasonable notice.
5. Acceptable Use
Customers must not use BosonWare SaaS services to:
- conduct unlawful activities;
- facilitate fraud or deception;
- distribute malware;
- conduct phishing or credential theft;
- distribute illegal content;
- infringe intellectual property or privacy rights;
- impersonate another person or organization;
- operate scams or deceptive schemes;
- facilitate harassment, threats, or abuse;
- circumvent service or account limits;
- interfere with service infrastructure;
- attempt unauthorized access;
- abuse APIs or automated systems; or
- otherwise violate applicable law or the BosonWare Terms of Service.
BosonWare may investigate credible reports of abuse and take reasonable measures to protect the service and its users.
6. User Content
Customers retain ownership of content they create or upload.
Customers grant BosonWare the limited rights required to store, process, transmit, display, and otherwise provide that content as part of the service.
Customers are responsible for ensuring that their content is lawful and that they have the necessary rights to use it.
7. Public Resources
Some SaaS products may allow customers to publish resources accessible by members of the public.
Customers are responsible for the content and purpose of publicly accessible resources they create.
BosonWare may restrict or remove resources that violate applicable law, these Terms, or reasonable service policies.
8. Suspension
BosonWare may temporarily suspend a service where reasonably necessary to:
- address a security incident;
- prevent abuse;
- investigate unlawful activity;
- protect other customers;
- comply with legal requirements; or
- address a material breach of these Terms.
Where reasonably practicable, BosonWare will provide notice and an opportunity to resolve the issue.
9. Service Availability
BosonWare aims to maintain reliable hosted services but does not guarantee uninterrupted availability unless a separate written agreement expressly provides an uptime commitment.
Maintenance, infrastructure failures, third-party dependencies, security incidents, force majeure events, and other circumstances may affect availability.
10. Cancellation
Customers may cancel their subscription according to the cancellation process applicable to the service.
Unless otherwise stated, cancellation prevents future renewal but does not automatically create a refund for a billing period already paid.
11. Data After Cancellation
Following cancellation or termination, customer data may remain available for a limited period to facilitate account recovery, export, deletion, or other operational requirements.
After the applicable retention period, data may be permanently deleted subject to legal, security, backup, and other legitimate retention requirements.
12. Changes to SaaS Services
BosonWare may modify features, limits, infrastructure, or functionality as the services evolve.
We will make reasonable efforts to avoid materially disrupting existing customers.
13. Relationship to Other Agreements
These SaaS Terms supplement the BosonWare Terms of Service and Privacy Policy. They do not grant ownership of BosonWare software or infrastructure.
Purchased software products are governed separately by the Software License Agreement.
