Software License Agreement

This Software License Agreement ("Agreement") governs the purchase and use of software products provided by BosonWare Enterprises ("BosonWare").
This Agreement applies to products sold as perpetual, buy-and-own software licenses, including BosonWare Mailbox, unless a product-specific agreement states otherwise.
1. License Grant
Upon successful purchase, BosonWare grants the customer a perpetual, non-exclusive, non-transferable license to install and use the purchased software in accordance with this Agreement.
The license is perpetual unless terminated in accordance with this Agreement.
The customer does not receive ownership of BosonWare's underlying intellectual property, source code, trademarks, or proprietary technology.
2. Buy-and-Own Model
BosonWare software sold under this Agreement is licensed on a buy-and-own basis.
The customer does not need to maintain a recurring subscription merely to retain the right to use the licensed version of the software.
Payment for the applicable license grants the customer the perpetual usage rights described in this Agreement.
3. Updates
Software updates are provided according to the update period specified for the purchased license.
For example, a product may include:
- one year of software updates; or
- an extended update period under a premium license.
After the included update period ends, the customer may continue using the version already licensed. Additional updates may be offered separately.
4. Security Support
Security support is provided for the period specified with the purchased license.
Security support does not mean that every historical version will receive security fixes indefinitely.
Customers are responsible for maintaining supported versions where reasonably necessary.
5. Self-Hosted Deployment
Where supported, customers may deploy the licensed software on infrastructure they control or infrastructure provided by a third-party hosting provider.
The customer is responsible for:
- infrastructure;
- hosting costs;
- domain configuration;
- third-party services;
- backups;
- operational security; and
- compliance obligations associated with their deployment.
BosonWare does not automatically control or administer a customer's self-hosted deployment.
6. Product-Specific Requirements
Certain products may require external services, infrastructure, credentials, domains, APIs, or third-party providers.
Such dependencies may be subject to separate terms and pricing.
7. Restrictions
Unless expressly permitted by BosonWare, the customer must not:
- resell the software as a competing product;
- redistribute licensed copies;
- sublicense the software;
- remove proprietary notices;
- circumvent licensing mechanisms;
- reverse engineer the software except where such restriction is prohibited by law; or
- use the software to create a substantially similar competing product.
Nothing in this Agreement restricts rights that cannot legally be restricted.
8. Lawful Use
A perpetual license does not grant permission to use the software for unlawful purposes.
The customer must comply with applicable laws and regulations when operating the software.
The customer must not use the software to facilitate fraud, unauthorized access, malware distribution, abuse, or other unlawful activity.
9. Customer Data
Customers retain ownership of data processed through their deployment.
For self-hosted software, the customer is generally responsible for the storage, protection, backup, and lawful processing of that data.
BosonWare does not claim ownership of customer data merely because the software processes it.
10. Intellectual Property
All intellectual property rights in the software remain with BosonWare or its licensors.
Except for the license expressly granted under this Agreement, no intellectual property rights are transferred to the customer.
11. Third-Party Components
The software may contain third-party or open-source components.
Those components may be subject to their own licenses.
Where required, applicable third-party licenses will be made available with the software or documentation.
12. Support
Technical support, if included with a product or license tier, is provided according to the support terms applicable to that product.
A perpetual license does not automatically include perpetual technical support.
13. Termination
Because the license is perpetual, it does not expire merely because an update or security-support period ends.
BosonWare may terminate the license if the customer materially breaches this Agreement and fails to remedy the breach where a remedy is reasonably possible.
Upon termination, the customer must stop using and uninstall the affected software.
14. Warranty Disclaimer
To the maximum extent permitted by law, the software is provided without warranties beyond those expressly stated in the applicable purchase agreement.
BosonWare does not guarantee that software will operate without interruption or errors in every environment.
15. Limitation of Liability
To the maximum extent permitted by applicable law, BosonWare will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the software.
BosonWare's aggregate liability arising from the licensed software will be limited to the amount paid for the applicable license, except where such limitation is prohibited by law.
16. Governing Law
This Agreement is governed by the laws of the Republic of Kenya.
Subject to mandatory legal rights, disputes will be subject to the jurisdiction of the courts of Kenya.
